PEG, in order to encourage the collaboration, within the Group Companies, of all the corporate functions and subjects involved in the implementation of the Code of Ethics, Model 231 and the FS Compliance Program, has set up specific channels that allow all interested parties (such as the Chairman, the Board of Directors, the Directors, the Employees, the Collaborators, the Consultants etc.) to send reports, to protect the integrity of the Group companies, regarding unlawful conduct that may give rise to a offenses envisaged by the relevant laws, or violations of the Code of Ethics, the Model 231, the FS Compliance Program and the internal procedures.

The Whistleblowing management methods adopted by the various Group companies are set out below.

WHISTLEBLOWING - PEG S.p.A. - English Version

The present section can be applied to Progetti Europa & Global S.p.A. (PEG S.p.A.) only.

Progetti Europa & Global S.p.A. (hereinafter "PEG" or "Company") in compliance with the provisions of art. 6, paragraph 2-bis of Legislative Decree 231/2001 (hereinafter "Decree 231") and to boost collaboration between all company functions and parties involved in the implementation of the Model, has set up specific channels that allow all Recipients of the Model (such as the Chairman, the Board of Directors, the Directors, the Employees, the Collaborators, the Consultants etc.) to submit reports, to protect the integrity of the Company, regarding unlawful conduct that could give rise to one of the crimes provided for by the Decree or to violations of the Model, Code of Ethics and internal procedures.

Reports of unlawful or irregular conduct must be detailed, important for the purposes of Decree 231, and based on specific and consistent facts, or on violations of the Model, Code of Ethics and internal procedures which has come to the knowledge of whistleblowers during and / or by reason of the work performed or due to the employment / collaboration relationship.

The Supervisory Body has the task of receiving, analyzing and checking the reports, also making use of the support of other functions of the Company.

The whistleblower sends the reports by filling in the "Form for reporting unlawful or irregular conduct" (the editable form is attached).

These reports must be submitted by writing alternatively:

  • electronically to the dedicated email address whistleblowing@pegitaly.it;
  • on paper for the attention of the Supervisory Body, at Progetti Europa & Global S.p.A., Piazza Stia 8 - 00138 Rome.

The process of reporting management is carried out according to the methods established by the corporate procedure adopted by the Company (ref. PE10000-PR-0007 - Requirements for the management of reports of unlawful or irregular conduct - so-called "whistleblowing"), as well as in compliance with the procedures and policies adopted by the Company regarding the protection of personal data.

Confidentiality is guaranteed to the whistleblower from the moment the report is received and at each subsequent stage. 

PEG promotes every initiative and adopts suitable measures in order to avoid retaliation, acts of discrimination or any other direct or indirect form of penalization against the whistleblower for reasons related to the report. Any discriminatory or retaliatory conduct may be reported to the National Labor Inspectorate both by the whistleblower and by the trade union organization suggested by the latter.

Any anonymous reports, i.e. without elements that allow the identification of their author, will be taken into consideration for further checks only if they relate to particularly serious facts and if their content is adequately detailed. PEG, in compliance with the provisions of Decree 231 and in order to prevent any abuses, has provided for specific sanctions against those who violate the measures to protect the whistleblower, as well as against those who, with willful misconduct or gross negligence, make reports that are unfounded.

La presente sezione è applicabile esclusivamente alla Progetti Europa & Global S.p.A. (PEG S.p.A.).

La Progetti Europa & Global S.p.A. (di seguito “PEG” o “Società”) nel rispetto di quanto previsto dall’art. 6, co. 2-bis del D. Lgs. 231/2001 (di seguito “Decreto 231”) e per incentivare la collaborazione di tutte le funzioni aziendali e i soggetti coinvolti nell’attuazione del Modello, ha predisposto appositi canali che consentono a tutti i Destinatari del Modello (quali il Presidente, il Consiglio di Amministrazione, i Direttori, i Dipendenti, i Collaboratori, i Consulenti etc.) di inviare segnalazioni, a tutela dell’integrità della Società, in merito a condotte illecite che possano dare luogo a uno dei reati previsti dal Decreto o a violazioni del Modello, del Codice etico e delle procedure interne. 

Le segnalazioni di condotte illecite o irregolari devono essere circostanziate, rilevanti ai sensi del Decreto 231, e fondate su elementi di fatto precisi e concordanti, ovvero su violazioni del Modello, del Codice etico e delle procedure interne di cui i segnalanti siano venuti a conoscenza in occasione e/o a causa delle mansioni lavorative svolte o in ragione del rapporto di lavoro/collaborazione. 

L’Organismo di Vigilanza ha il compito di ricevere, analizzare, verificare le segnalazioni, anche avvalendosi del supporto di altre funzioni della Società.

Il segnalante invia le segnalazioni compilando il “Modulo per la segnalazione di condotte illecite o irregolari” (il modulo editabile è in allegato).

Dette segnalazioni dovranno essere inoltrate scrivendo alternativamente:

  • per via telematica all’indirizzo dedicato whistleblowing@pegitaly.it;
  • per via cartacea all’attenzione dell’Organismo di Vigilanza, presso Progetti Europa & Global S.p.A., Piazza Stia 8 – 00138 Roma.

Il processo di gestione delle segnalazioni è effettuato secondo le modalità stabilite nella procedura aziendale adottata dalla Società (rif. PE10000-PR-0007 - Prescrizioni per la gestione delle segnalazioni di condotte illecite o irregolari - c.d. “whistleblowing”), nonché nel rispetto delle procedure e delle policies adottate dalla Società in materia di protezione dei dati personali.

E’ garantita la riservatezza del segnalante sin dalla ricezione della segnalazione e in ogni fase successiva. 

PEG promuove ogni iniziativa e adotta misure idonee al fine di evitare atti ritorsivi, discriminatori o qualsiasi altra forma di penalizzazione, diretta o indiretta, nei confronti del segnalante per motivi collegati alla segnalazione. Eventuali condotte discriminatorie o ritorsive potranno essere denunciate all’Ispettorato Nazionale del Lavoro sia da parte del segnalante che da parte dell’organizzazione sindacale indicata da quest’ultimo.

Eventuali segnalazioni anonime, cioè prive di elementi che consentano di identificare il loro autore, verranno prese in considerazione per ulteriori verifiche solo se relative a fatti di particolare gravità e con un contenuto che risulti adeguatamente dettagliato e circostanziato. PEG, in conformità a quanto previsto dal Decreto 231 e al fine di prevenire eventuali abusi, ha previsto specifiche sanzioni nei confronti di chi viola le misure di tutela del segnalante, nonché nei confronti di coloro che, con dolo o colpa grave, effettuino segnalazioni che risultino infondate.

WHISTLEBLOWING - PEG ENGINEERING AND CONTRACTING DMCC - DUBAI

 The present section can be applied to PEG DMCC only.

PEG DUBAI aims to encourage the collaboration of its staff and other interested parties with a view to facilitating the surfacing of irregularities within the Company, and promoting the culture of ethics and legality.For this purpose, PEG defined the process of managing the whistle-blowing Reports, providing the Whistle-blower with operational instructions regarding the subject, the contents and the methods of transmission of the whistle-blowing Reports, as well as with regard to the forms of protection provided by PEG DUBAI in accordance with the best practices and regulations in force. Whistle-blowers may be members of the Corporate Bodies of PEG DUBAI, individuals in high-level positions within the companies, staff (employees and non-employees), collaborators, consultants, and more generally the individuals who, although not belonging to the companies, operate on behalf of the companies or in the interests of the same.

The Reports issued by the Whistle-blower shall concern behaviour carried out in violation of: i) PEG Code of Ethics; ii) PEG DUBAI Compliance Programme; iii) laws, company procedures and internal provisions that may in any case cause damage or harm, even if only in terms of image, to PEG DUBAI and / or to the companies of the PEG Group.

Reports must be sent in writing, either:

  • by e-mail to the dedicated whistle-blowing address, whistleblowing@pegdubai.com;
  • by ordinary mail to PEG Engineering & Contracting DMCC, Unit 1009 Jumeirah Bay Tower X3, Cluster X, Jumeirah Lakes Towers, P.O. BOX 634338, Dubai, UAE, for the attention of the Compliance Officer.

The confidentiality of the Whistle-blower and of the information received is guaranteed by all those who receive the Reports, in compliance with the applicable regulatory provisions.

The Compliance Officer is designated as the Recipient of the Reports. It is therefore responsible for receiving, analysing and verifying the Reports received through the whistle-blowing system, as defined in the relevant  procedure.

Reports made without elements that allow their author to be identified, will be taken into consideration only if they are adequately detailed and highlight specific facts and situations. However, Whistle-blowers are encouraged not to make anonymous reports in order to facilitate the preliminary activities.

The Compliance Officer is required to guarantee the Whistle-blower confidentiality from taking in charge of the whistle-blowing Report and throughout the whole process of managing the same, in compliance with the applicable provisions. With regard to the Whistle-blower, who in good faith reports an illegal activity or a violation, no form of grievance or discriminatory measure, direct or indirect, relating to working conditions for reasons connected directly or indirectly to the complaint, shall be tolerated.
